Today we do a deep dive on Special Purpose Acquisition companies or SPACs. Everything you need to know for 2021 investing framework around this controversial investment sector. Here are the key points we cover in the video: -SPACs have been around for decades but have recently caught speculative hype. Ex: DraftKings & Nikola To understand how SPAC’s work you first have to understand: For a company to go public and raise capital they have to go through the strenuous ICO process, this is very complex, expensive and time intensive. The alternative is the spac: take a highly regarded suit with good credentials aka the “manager” have him setup a shell company with no assets and no core operation. The manger then goes around raising capital from public investors. Manager (called sponsor in this process) pitches the onlookers that if they invest, this SPAC will acquire a private firm. They will proceed to IPO the spac, since they own no assets it is a much quick and cheaper option. Now they will approach the private firm to acquire and if it is a success they will merge with the SPAC and take its place on the public market. *Typically there is a 2 year money back agreement if the SPAC does not find a company to invest in… this pushes them to invest in low quality companies at last minute. The big risk here is that the investors aren't told which private firm the SPAC will be investing in, rather they are just sold a dream of massive return you can't find anywhere else… a once in a lifetime opportunity. The reason for this is that if they disclose who they plan to acquire it can complicate the ICO process while they hold no assets. This is why SPAC’s are usually referred to as blank check companies. In conclusion we’ve seen massive hype in SPAC’s over the past year as celebrities back these and the long IPO process scares private companies in our current uncertain economic environment. This provides a shortcut from the complex IPO process.
